These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Eunoia Ventures Private Limited, operating as Cognize ("Company", "we", "us", or "our"), concerning your access to and use of the cognize.life website and associated applications (collectively, the "Site").
By registering for, accessing, or using the Site, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using the Site and must discontinue use immediately.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the "Last updated" date of these Terms, and your continued use of the Site represents your acceptance of such changes.
Cognize is strictly available to individuals aged 18 years or older residing in India. By using the Site, you represent and warrant that:
Eunoia Ventures Private Limited operates strictly as an "Intermediary" under Section 2(1)(w) of the Information Technology Act, 2000, and complies with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
We do not proactively monitor, endorse, or assume liability for user-generated content posted in community spaces. However, we reserve the right (but not the obligation) to review, refuse to post, or remove any content that violates these Terms or Indian law. You agree that you are solely responsible for the content you transmit.
You may not access or use the Site for any purpose other than that for which we make the Site available. You agree NOT to:
The Site is our proprietary property. All source code, databases, functionality, software, designs, audio, video, text, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned by us and are protected by copyright and intellectual property laws of India.
By posting user-generated content to our community spaces, you retain your ownership rights, but you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, and distribute your content strictly for the operational purposes of the platform.
If you purchase a premium subscription, you agree to provide current, complete, and accurate purchase information. We use third-party payment processors (e.g., Razorpay). By submitting payment, you agree to be bound by the terms of those third-party processors. All purchases are non-refundable unless strictly required by Indian law. You may cancel your subscription at any time; cancellation takes effect at the end of the current paid term.
During the "Beta" phase of Cognize, the platform may contain bugs, errors, or inaccuracies. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site and your use thereof, including, without limitation, the implied warranties of merchantability and fitness for a particular purpose.
IN NO EVENT WILL WE, OUR DIRECTORS, FOUNDERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING EMOTIONAL DISTRESS, LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE.
Notwithstanding anything to the contrary contained herein, our maximum aggregate liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising, or INR 5,000, whichever is greater.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) your breach of these Terms; (3) your violation of the rights of a third party; or (4) any harmful act toward any other user of the Site.
These Terms shall remain in full force and effect while you use the Site. We reserve the right to, in our sole discretion and without notice or liability, deny access to the Site (including blocking IP addresses) to any person for any reason, including for breach of any representation or warranty. Provisions relating to Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification shall survive the termination of your account.
We shall not be held liable for any delay or failure to perform our obligations under these Terms if such delay or failure is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, internet service provider failures, government actions, or regional internet shutdowns.
If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
These Terms and your use of the Site are governed by and construed in accordance with the laws of India. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms, you and Eunoia Ventures Private Limited agree to first attempt to negotiate any dispute informally for at least thirty (30) days.
If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the competent courts located in Banda, Uttar Pradesh, India.
